THE CLEANING SOFTWARE TERMS OF USE

1. AGREEMENT TO TERMS

These Terms of Use (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and The Cleaning Software Inc (“TCS,” “The Cleaning Software,” “we,” “us,” or “our”), concerning your access to and use of the website located at https://thecleaningsoftware.com and any related websites, applications, dashboards, portals, APIs, mobile applications, features, content, and services operated by TCS (collectively, the “Services”).

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.

We reserve the right, in our sole discretion, to modify these Terms at any time. We will update the “Last updated” date when changes are made. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.

The Services are intended for users who are at least 18 years old.

The Services are not designed to comply with industry-specific regulations such as HIPAA, FISMA, GLBA, or similar frameworks. Do not use the Services in a manner that would subject us to such regulations unless we expressly agree in writing.

2. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Services and all related content, including software, source code, databases, functionality, designs, text, graphics, logos, icons, audio, and video (collectively, the “Content”), as well as all trademarks, service marks, and logos (the “Marks”), are owned by or licensed to TCS and are protected by U.S. and international intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes. No rights are granted except as expressly stated.

You may not copy, reproduce, distribute, sell, sublicense, reverse engineer, or exploit the Services or Content except as permitted by law or with our prior written consent.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

• All information you provide is accurate, current, and complete
• You have legal capacity to enter into these Terms
• You will comply with all applicable laws and regulations
• You will not use the Services for illegal, deceptive, or unauthorized purposes
• You will not access the Services through unauthorized automated means
• Your use of the Services will not infringe the rights of others

We reserve the right to suspend or terminate your account if any representation is false or misleading.

4. USER REGISTRATION AND ACCOUNT SECURITY

You may be required to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account. We are not liable for unauthorized access resulting from your failure to safeguard your credentials.

We may modify or reclaim usernames that are inappropriate, misleading, or infringing.

5. FEES AND PAYMENT

Certain features of the Services require payment of fees. By providing payment information, you authorize us and our third-party payment processors, including Stripe and any future payment gateways we may use (“Payment Processors”), to charge your selected payment method.

We do not store full payment card numbers on our servers. Payment information is handled directly by the applicable Payment Processor and is subject to its own terms and privacy policies.

If you enroll in a subscription, you authorize recurring charges until you cancel. Prices may change prospectively with notice where required by law.

All fees are exclusive of taxes unless stated otherwise.

6. CANCELLATION; NO REFUNDS

ALL PURCHASES ARE NON-REFUNDABLE.

All sales are final except where required by applicable law.

You may cancel your subscription at any time via your account settings (if available) or by contacting compliance@thecleaningsoftware.com. Cancellation will take effect at the end of the current paid billing period, and you will retain access through that period.

7. PROHIBITED ACTIVITIES

You may not use the Services to:

• Violate any law or regulation
• Reverse engineer, scrape, or exploit the Services
• Circumvent security or access controls
• Transmit malware, spam, or harmful code
• Harass, abuse, or deceive others
• Impersonate another person or entity
• Compete with TCS or build a substantially similar product
• Collect user data for unsolicited communications

We reserve the right to investigate and take appropriate action for violations.

8. USER-GENERATED CONTENT

You may submit data, messages, files, text, job information, communications, or other materials through the Services (“Customer Data”).

You represent that you have all rights and consents necessary to submit Customer Data and that such data does not violate any law or third-party rights.

9. LICENSE TO CUSTOMER DATA

You retain ownership of your Customer Data.

You grant TCS a worldwide, non-exclusive, royalty-free license to host, store, process, modify, transmit, and use Customer Data solely for:

• Providing and maintaining the Services
• Enforcing these Terms
• Complying with legal obligations
• Improving and developing the Services, including AI Features (see Section 11)

10. THIRD-PARTY SERVICES AND LINKS

The Services may integrate with or link to third-party services. We are not responsible for third-party content, products, or services, and your use of them is at your own risk and subject to their terms.

11. AI FEATURES; AI TRAINING DISCLOSURE; AI OUTPUT DISCLAIMER

The Services may include features powered by artificial intelligence or machine learning (“AI Features”), including automated message drafting, scheduling suggestions, summaries, recommendations, and other generated outputs.

11.1 Probabilistic outputs; verification required

AI output may be inaccurate, incomplete, misleading, or fabricated. You must independently review and verify all AI-generated output before relying on it.

11.2 No professional advice

AI output is provided for informational and productivity purposes only and does not constitute legal, financial, tax, medical, HR, or other professional advice.

11.3 Responsibility for Inputs and Outputs

You are solely responsible for all data you submit to AI Features (“Input”) and all generated content (“Output”), including compliance with applicable laws.

11.4 Sensitive data

Do not submit sensitive personal data (such as payment card numbers, government IDs, or medical data) unless explicitly supported by the Services and legally permitted.

11.5 AI training on customer data

You acknowledge and agree that TCS may use Customer Data, including Input and Output, to develop, train, fine-tune, and improve AI Features and related models and services.

To enable this, you grant TCS and its service providers a worldwide, non-exclusive, royalty-free license to process Customer Data for AI development and service improvement purposes. Where reasonably feasible, we may apply aggregation, pseudonymization, or de-identification techniques.

Any limitation on AI training will apply only if expressly offered by TCS and will apply prospectively only.

11.6 Third-party AI providers

AI Features may rely on third-party infrastructure or AI providers, who may process Customer Data in accordance with our Privacy Policy.

11.7 Acceptable AI use

You may not use AI Features to generate unlawful content, impersonation, harassment, spam, or infringing material.

12. PRIVACY POLICY

By using the Services, you consent to the collection, use, and processing of your data as described therein.

13. TERM AND TERMINATION

These Terms remain in effect while you use the Services. We may suspend or terminate your access at any time, with or without notice, for violation of these Terms or if we reasonably believe your use poses legal, security, or operational risk.

Upon termination, your right to use the Services immediately ceases.

14. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, TCS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT RESULTS WILL BE ACCURATE OR RELIABLE.

15. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TCS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO TCS IN THE ONE (1) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS GREATER.

16. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless TCS and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including attorneys’ fees) arising out of:

• Your use of the Services
• Your Customer Data
• Your violation of these Terms
• Your violation of any law or third-party rights

17. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any legal action shall be brought exclusively in the state or federal courts located in Texas, and the parties consent to personal jurisdiction therein.

18. MISCELLANEOUS

These Terms constitute the entire agreement between you and TCS regarding the Services. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver.

19. SMS/TEXT MESSAGING PROGRAM

19.1 Program Description

By providing your mobile phone number and opting in, you consent to receive SMS/text messages from The Cleaning Software Inc (“TCS,” “we,” “us”) or on our behalf. Messages may include, without limitation: appointment and job scheduling reminders, dispatch and job-status updates, booking confirmations, account and billing notifications, customer service communications, and other operational or transactional messages related to your use of the Services. Message frequency will vary depending on your account activity and how you use the Services.

19.2 Consent; Not a Condition of Purchase

Consent to receive SMS messages is not a condition of purchasing any goods or services from TCS. You may be asked to confirm your opt-in (for example, through a double opt-in text). By opting in, you represent that you are the account holder for the mobile number provided or are otherwise authorized to consent to receive messages at that number.

19.3 Message and Data Rates

Message and data rates may apply. Standard messaging and data charges from your wireless carrier may apply to messages sent and received through this program. Please contact your carrier for details about your specific plan.

19.4 Opt-Out Instructions

You may opt out of receiving SMS messages at any time by texting “STOP” to the number from which you received the messages. After you text “STOP,” we will send a one-time confirmation message and you will no longer receive SMS messages from us, except any final message confirming your opt-out. If you would like to resume receiving messages, text “START” or re-enroll through the Services.

19.5 Help

For help at any time, text “HELP” to the number from which you received the messages, or contact us at compliance@thecleaningsoftware.com.

19.6 Carrier Liability Disclaimer

Carriers are not liable for delayed or undelivered messages. Wireless carriers participating in this messaging program are not liable for delayed or undelivered messages. We do not guarantee the delivery, timing, or security of any SMS message and are not responsible for delays or failures in transmission caused by your wireless carrier, network, or device.

19.7 Supported Carriers; Availability

This SMS program is intended to operate on major U.S. wireless carrier networks. Not all carriers are supported, and availability may vary by carrier, device, and location. We may modify, suspend, or terminate the SMS program, or your participation in it, at any time, with or without notice.

19.8 Privacy

Your mobile phone number and related messaging data are handled in accordance with our Privacy Policy, available at https://thecleaningsoftware.com/terms/. We will not share your mobile opt-in or phone number with third parties for their own marketing purposes.
